Vendor Terms & Conditions Effective Date: May 01, 2025 Welcome to Brixflow Vendor/Partner Program operated by xThink Solutions. By registering as a vendor, reseller, implementation partner, or service provider on Brixflow, you agree to comply with the following Terms & Conditions. 1. Vendor Registration Vendors must provide accurate and complete business information during registration. xThink Solutions reserves the right to approve, reject, suspend, or terminate any vendor account at its sole discretion. 2. Vendor Responsibilities Vendors agree to: * Maintain professional and ethical business practices * Provide accurate information about their services and offerings * Comply with all applicable laws, regulations, and platform policies * Use the platform responsibly and only for authorized business purposes * Maintain confidentiality of customer and platform information 3. Prohibited Activities Vendors must not: * Use Brixflow for spam, fraudulent, abusive, or misleading activities * Misrepresent products, services, or affiliations * Engage in unauthorized marketing or bulk messaging practices * Attempt to access restricted systems or data * Violate WhatsApp, Meta, or third-party platform policies Violation may result in immediate account suspension or termination. 4. Payments & Commercials Any commercial agreements, commissions, subscriptions, onboarding fees, or revenue-sharing arrangements will be governed as mutually agreed between the vendor and xThink Solutions. xThink Solutions reserves the right to modify pricing, commission structures, or partnership models at any time. 5. Third-Party Services Brixflow may rely on third-party integrations including Meta and WhatsApp APIs. xThink Solutions shall not be held responsible for outages, restrictions, suspensions, or policy changes introduced by such third-party platforms. 6. Data & Privacy Vendors are solely responsible for ensuring lawful collection, usage, and processing of customer/contact data used through the platform. Any misuse of customer data or violation of privacy laws may lead to account termination and legal action where applicable. 7. Intellectual Property All platform technology, branding, software, workflows, and related intellectual property remain the exclusive property of xThink Solutions unless otherwise agreed in writing. Vendors may not copy, resell, reverse engineer, or misuse platform assets without authorization. 8. Limitation of Liability xThink Solutions shall not be liable for any indirect, incidental, business, financial, or consequential losses arising from: * Platform usage * Third-party service interruptions * Vendor-client disputes * Data loss or communication failures 9. Account Suspension & Termination xThink Solutions reserves the right to suspend or terminate vendor access without prior notice in cases involving: * Policy violations * Fraudulent or suspicious activity * Platform misuse * Legal or compliance concerns 10. Modifications to Terms These Vendor Terms & Conditions may be updated or modified at any time without prior notice. Continued usage of the platform constitutes acceptance of the updated terms. 11.
